Experience and

Education:

• Juris Doctor (J.D.) and 4+ years of mergers and acquisitions experience, insurance industry experience preferred.
• Strong familiarity with preparing and reviewing engagement letters, confidentiality agreements, indemnification provisions and risk management analyses.
• Ability to assess accuracy of statements and assurances in the representations and warranties from sellers in mergers and acquisitions transactions. Shall:
• Perform contractual and financial evaluations for companies involved in M&A deals in order to assess acceptable Representations and Warranties Insurance coverage.
• Provide transactional risk insurance.
• Review, evaluate and present analysis of due diligence procedures, operational risks and potential red flags of mergers and acquisitions deals.
