We are seeking a highly motivated and skilled attorney to join a Corporate & Transactional Practice Group. The ideal candidate will play a key role in advising clients and executing a wide range of corporate matters, with meaningful responsibility and direct client interaction.
Key Responsibilities:- Draft, review, and negotiate definitive and ancillary transaction documents for mergers and acquisitions, joint ventures, and other complex corporate transactions
- Manage and coordinate all aspects of due diligence processes, including reviewing, analyzing, and summarizing findings
- Advise clients on a broad range of corporate matters, including:
Financings (debt and equity), Entity formation and structuring, Corporate governance and compliance, Commercial and strategic agreements - Work closely with partners and clients throughout the full lifecycle of transactions, from structuring through closing and post-closing matters
- JD and active bar admission in AZ
- At least 3 years of corporate transaction experience
