The Manager, M&A role will report to the Director, M&A and support Pizza Hut’s M&A strategy, partnering with business markets to assist with brand acquisitions and conversion M&A deals around the world that drive shareholder value. This association manager also accelerates Pizza Hut’s new unit growth through analytical expertise and strategic insight on development agreements and other franchisee structure/growth proposals.
The role requires modeling, financial analysis, coordinating diligence, preparing written materials, and managing internal stakeholders for PHG’s inorganic/M&A and franchisee growth proposals.
This position partners with teams from legal, finance, HR, and operations, as well as franchisees and lenders, providing significant exposure to leaders throughout the organization. Time will be split working on transaction‑related projects between the M&A and development functions as follows:
M&A Responsibilities- Develop and maintain a system to track and manage deal flow.
- Conduct due diligence on targets and provide second‑layer analysis of materials produced by business unit managers or third‑party advisors.
- Develop robust financial models and create deal materials that support M&A investment decisions.
- Prepare materials for presentation to senior leadership and the Yum Deal Committee.
- Partner with M&A teams and brands on brand acquisitions and conversion M&A deals.
- Coordinate with Yum and PHG lead teams and the Deal Committee.
- Engage with external parties, including consultants and bank/financing providers.
- Act as a key thought partner to the CGO/CDO and leadership on PHG development strategy, inorganic/M&A, development agreements, incentives and other franchisee structure/growth levers.
- Lead modelling and financial analysis to inform development growth decisions, evaluating commercial and policy implications with finance and legal.
- Engage with and influence stakeholders and senior leaders to ensure alignment and approval, including creation of presentation materials.
- Guide and participate with BMUs, franchisees and external parties in designing structures, negotiating deals, performing due diligence, and creating final binding agreements across multiple geographies.
- Manage internal implications across legal, finance, operations, supply chain, and other functions.
- Lead and develop people indirectly, fostering a growth mindset and a diverse, global team.
- Coordinate with BMU CGOs/CDOs & development teams, PHG leadership and cross‑functional leaders, particularly finance and legal.
- Liaise with Yum/no cross‑brand franchisee policy committee leaders and key global franchisees and potential candidates.
- Required to attend the Plano, TX office three days a week (Tuesday, Wednesday and Thursday).
- Bachelor’s degree in business with a finance and accounting concentration; MBA or CFA designation preferred.
- Five or more years of professional experience in M&A, corporate development, investment banking, corporate finance, private equity or business valuation.
- Experience with the entire deal process from beginning to end.
- Excellent verbal and written communication skills, and ability to influence and build relationships at all levels.
- Comfort negotiating with, presenting to, and influencing people in positions of power and authority.
- Self‑directed, able to prioritize initiatives and execute independently and in collaboration with others to agreed deadlines.
- Strong business acumen, analytical and problem‑solving skills, and the ability to understand legal documents.
- Financial analysis capabilities, including a clear and thorough understanding of financial modeling, valuation techniques and financial statement analysis.
- Technical skills:
Capital IQ, Pitch Book, Deal Cloud, Bloomberg, and Microsoft Office Suite, with strong modeling skills.
- International experience strongly desired.
- Knowledge of the restaurant industry and franchise economics.
- Project management experience a plus.
- Track record of consistently achieving or exceeding goals.
