Role Description

The Corporate Secretary is a full-time, on-site role based in Portland, OR, responsible for establishing, maintaining, and administering the organization’s corporate governance and official recordkeeping infrastructure. Day-to-day responsibilities include organizing and documenting board and committee meetings, preparing agendas, resolutions, written consents, and minutes, maintaining statutory and corporate records, and coordinating records supporting applicable compliance and reporting obligations.

The role serves as a central point of governance coordination between the Board, executive leadership, officers, and key professional advisers. The Corporate Secretary maintains clear records of corporate authority, officer appointments, delegations, approvals, decisions, and action items; tracks authorized actions through completion; and helps ensure that responsible offices are operating from current and properly documented corporate authority.

The Corporate Secretary is also responsible for establishing and maintaining an organized corporate record system, including governing documents, board records, resolutions, material agreements, organizational records, authorization records, and other key corporate documentation. The role supports transaction and operational readiness by coordinating the corporate records, approvals, certificates, resolutions, and supporting documentation required by financial institutions, accountants, attorneys, investors, counter parties, and other professional service providers.

As the organization continues developing its institutional infrastructure, the Corporate Secretary will work closely with senior leadership to strengthen governance processes, document controls, information flow, accountability, and execution discipline. This position requires someone capable of both administering established requirements and helping build reliable governance systems in an evolving organization.

Qualifications
  • Strong corporate governance and compliance administration skills, including experience supporting boards, maintaining corporate records, preparing resolutions and minutes, and coordinating regulatory or statutory filings.
  • Demonstrated ability to establish and maintain organized governance systems, corporate record repositories, decision registers, authorization records, and document-control processes.
  • Advanced administrative and organizational skills, with proficiency in document management, scheduling, deadline tracking, action-item management, and follow-through.
  • Ability to translate board and executive decisions into clear records of authority, responsibility, required documentation, deadlines, and execution status.
  • Experience coordinating governance documentation for financial, legal, accounting, investment, contractual, or other significant corporate activities.
  • Excellent written and verbal communication skills, including the ability to prepare clear minutes, resolutions, reports, correspondence, and governance documentation for senior leadership and board members.
