The Role:

As Green Key continues to scale, our capital needs have outgrown our current partners, requiring us to pursue more complex financing structures to optimally leverage our projects’ tax credits. That means more deal volume, and a growing need for expedited diligence and closings to keep pace with our construction schedule.

We’re looking for a Senior Tax Equity Associate to help us close on tax credit transfers and structured finance deals. You’ll work closely with our Project Finance Manager and Project Finance Analyst, owning the tax credit and deal structuring work streams so the broader team can execute at scale.

This is a great fit for someone who wants deep, hands‑on exposure to tax equity and structured finance, and who’s energized rather than overwhelmed by the technical complexity of IRA‑era tax credit transactions.

  • Detail-Oriented: You catch the discrepancy in a diligence checklist before it becomes a closing delay — precision isn’t optional in tax credit deals, it’s the job.
  • Analytical: You can sit with dense IRS guidance and technical tax code and translate it into a clear point of view on deal structuring.
  • Organized: You manage a pipeline of live transactions without losing track of a single open item.
  • Proactive: You don’t wait to be told what the next step is — you see it coming and get ahead of it.
  • Collaborative: You work fluidly across legal counsel, tax advisors, financing partners, and your own team to keep deals moving.
  • Trustworthy: You handle sensitive deal terms and partner relationships with the discretion they require.
  • Comfortable with Complexity: You’re energized, not daunted, by structuring problems that don’t yet have a standard playbook.
Your Responsibilities:
  • Own the end‑to‑end execution of tax credit transfer agreements, including buyer sourcing, document coordination, diligence, and closing logistics.
  • Support structured financing transactions (tax equity, construction loans, permanent debt) by managing diligence work streams and tracking open items.
  • Lead diligence calls and delegate transaction related requests to internal and external team members.
  • Maintain updated closing trackers, virtual data rooms, and transaction timelines across an active pipeline of projects.
  • Work alongside the Project Finance Analyst on closing‑related tasks.
Technical Expertise & Cross-Functional Support
  • Serve as a subject matter resource on ITC eligibility, Prevailing Wage and Apprenticeship requirements, IRA transferability provisions, and evolving IRS guidance.
  • Coordinate with legal counsel, tax advisors, and financing partners on deal‑specific structuring questions.
  • Provide input on tax implications regarding capital decisions, financings, and asset transactions.
  • Work with Asset Management to maintain compliance with reporting requirements and ongoing diligence for equity partners.
