, Inc. d/b/a NEOGOV on behalf of itself and its subsidiaries PowerDMS, Cuehit, Ragnasoft, PlanIT Schedule, and Design PD, LLC (d/b/a Agency
360) (referred to as “NEOGOV”, “Company,” “we”, “our”, or “us”) offers proprietary web-based software-as-a-service applications (the “SaaS Applications”) and maintains various websites under its control (the “Websites”). The Websites and SaaS Applications are collectively referred to as the “Services.”

By using the Services, you accept and agree to be bound by these Terms of Use together with our Privacy Policy, found at the linked pages, and incorporated herein by reference. If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use the Services.

If you use the Services as part of a paid subscription, the specific terms between NEOGOV and the organization (the “Customer”) govern delivery, access, and use of the Service. The Customer Contract controls to the extent of any direct conflict with these Terms of Use.

If you are using a SaaS Application on behalf of a Customer, you acknowledge and agree to be bound by these Terms of Use and the Privacy Policy, and you are responsible for actions performed on or through your registered account. The SaaS Application may be administered by the Customer, including user additions/removals, enabling/disabling third-party integrations, and managing permissions. Content submitted to the SaaS Application may be retained, accessed, used, modified, shared, or removed by the administering party.

Your account may be managed by the domain owner of the email address used to create it.

We may revise and update these Terms of Use from time to time. Changes are effective immediately upon posting and apply to all access to and use of the Services thereafter. Continued use of the Services after changes constitutes acceptance. Check this page periodically for updates.

Eligibility
. These Services are offered to users who are 18 years of age or older. By using the Services, you represent that you are of legal age to form a binding contract. We are based in California, United States. Access to the Services may be restricted in certain countries or locales. If you access from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

Access to the Services from territories where the Services are illegal is prohibited. You remain responsible for compliance with U.S. export and related laws.

Accessing Services and Account Security
. We grant you a non-exclusive, limited, revocable license to use the Services for your own transactions, unless a Customer Contract permits you to act on the Customer’s behalf. If you are using the Services on behalf of a Customer, you warrant that you are authorized to do so. You may be asked to provide registration details or other information; it is a condition that all information provided is correct and complete.

Any information you provide is governed by the Privacy Policy, and you consent to actions we take with respect to your information in line with the Privacy Policy. Terms not defined herein retain their meaning as set forth in the Privacy Policy.

If you have a username, password, or other security information, treat it as confidential and do not disclose it. Your account is personal to you and you should not share access with others.

Your account may belong to you, but if the Services are purchased by a Customer for your use, the Customer has the right to control access and generate reports on your use of the paid service.

You agree to notify us immediately of any unauthorized access to or use of your credentials, assist in maintaining confidentiality, and help enforce our rights as required by law. Use caution when accessing your account from public or shared computers. We may disable any credentials if you violate the Terms of Use.
