The Business & Transactional Paralegal provides comprehensive support to attorneys across all phases of transactional matters. Responsibilities includecontract drafting and execution support, due diligence, closings, corporate governance, filings, and coordination with internal administrative teams
, while maintaining professionalism with clients and third parties.
- Support contract drafting, revisions, execution, and document management
- Assist with
M&A and other corporate transactions from due diligence through closing - Prepare and manage closing checklists, execution packets, and post‑closing materials
- Coordinate and maintaindue diligence materials and virtual data rooms
- Support entity formations, corporate governance, and ongoing compliance filings
- Order and manage
UCC searches, filings, and lien releases - Communicate with clients, counsel, and third parties as directed
- Coordinate closely with administrative teams to support matter intake, filings, and workflow

- Bachelor’s degree,
or
ABA‑accredited paralegal certificate,
or
10+ years of paralegal experience - Strong proficiency with
Microsoft Office
and legal technology platforms - Excellent organization, attention to detail, and time‑management skills
Strong written and verbal communication skills - Ability to manage confidential information and support multiple attorneys
- Prior
corporate/transactional paralegal experience
, including M&A and due diligence - Familiarity with
healthcare transactions - Experience using
AI tools (including Microsoft Copilot) in a legal or professional services setting
