Aphios Corporation is seeking an experienced Board Director with Audit and Governance expertise to support the company’s progression toward public‑market readiness and financial governance excellence.

We are seeking an individual with strong experience in:

• Audit Committee leadership or participation
• Financial oversight, reporting, and internal controls
• Public company governance and compliance
• IPO, SPAC, or public company readiness

• Former public company executive (CFO, CAO) or Audit Committee member
• Experience with SEC reporting, SOX compliance, and financial governance
• Background in life sciences, healthcare, or technology companies preferred
• Experience supporting IPO or public company transitions

Aphios is a clinical‑stage biotechnology company with three Board members and is expanding governance capabilities to support:

• Capital formation and investor engagement
• Financial discipline and transparency
• Public‑market readiness

This Director will:

• Help establish Audit Committee structure and governance processes
• Support financial oversight and reporting discipline
• Enhance credibility with institutional investors and public markets
• Contribute to IPO readiness and compliance infrastructure

• Equity‑based compensation only (no cash)
• Designed to align with long‑term shareholder value creation
