Overview

Mc Guire Woods  seeks an associate with at least three years of law firm tax experience to join its Business Tax Group. This role involves working with a transactional tax team on sophisticated domestic and cross-border business transactions for public and private companies, private equity funds, investment banks, family offices, fund sponsors, nonprofit organizations, and other leading market participants. The group advises on the tax aspects of mergers and acquisitions, buyouts, restructurings, joint ventures, private equity transactions, tax credit investments, fund formations, financings, and inbound and outbound international investments.

The associate will work directly with partners whose practices span corporate, partnership, international, fund, nonprofit, and tax credit matters. The team regularly advises on taxable and tax-free mergers and acquisitions, cross-border acquisitions and financings, private investment fund formation and sponsor-level planning, GP stakes and secondary transactions, joint ventures, corporate reorganizations, partnership and LLC structuring, and transactions involving new markets, historic, low-income housing, and energy tax credits.

The work is highly collaborative, fast-paced, and closely integrated with the firm’s corporate, private equity, finance, and investment funds practices.

Responsibilities
  • Collaborate with partners to structure transactions that align with clients’ business objectives while managing tax exposure.
  • Analyze complex tax issues, draft and negotiate tax provisions, and prepare tax memoranda.
  • Advise on the tax aspects of mergers and acquisitions, private equity investments, fund formations, financings, and cross-border transactions.
  • Work across practice groups to deliver practical, business-oriented tax advice.
  • Manage multiple ongoing transactions in a demanding deal environment.
  • Contribute to tax planning for tax credits, partnerships, and LLC restructurings.
  • Support inbound and outbound international investments and related structuring.
Qualifications
  • At least 3 years of experience as a tax associate in a law firm.
  • Excellent academic credentials, including an LL.M. in taxation (strongly preferred).
  • Strong writing, analytical, communication, and organizational skills.
  • Ability to work in a high-paced environment with multiple ongoing transactions.
  • Willingness to work with innovative technology platforms; familiarity with research and drafting tools.
