Attorney Expert – Commercial Transactions Attorney (5457)

Dallas / Fort Worth, TX (Preferred but NOT required – 100% Remote)
Contract Duration: 4 Months potential to extend
The Role
We are seeking highly experienced Commercial Transactions Attorneys to support its Technology Sourcing and Procurement Legal team. The ideal candidate will be a subject matter expert with 7+ years of in‑house commercial contracting experience, capable of managing a high‑volume contract portfolio and leading complex negotiations end‑to‑end.
This role requires strong expertise in technology transactions, cloud services agreements, software licensing, sourcing contracts, and M&A‑related commercial support.
Key Responsibilities- Lead and support complex technology and sourcing contract negotiations (40–50 active contracts at a time).
- Draft, review, and negotiate a wide range of commercial agreements, including:
- Cloud services (IaaS, PaaS, SaaS)
- Software and hardware licensing
- Professional services
- Data and security agreements
- Advise internal stakeholders including sourcing, procurement, operations, technology, and risk teams.
- Provide legal guidance across the full lifecycle of sourcing transactions from intake to execution.
- Coordinate closely with cross‑functional partners to ensure alignment with corporate policies and risk tolerances.
- Structure and support deals connected to M&A efforts, including integration‑related commercial agreements.
- Manage transaction workflows and drive timely completion of contracts.
- Work independently with minimal oversight as a senior legal resource.
- 7+ years of in‑house commercial contracting experience (required).
- Deep expertise in:
- Cloud services (AWS, Azure, GCP, etc.)
- Technology licensing and sourcing agreements
- Information security and privacy terms
- Significant experience supporting sourcing/procurement legal teams.
- M&A transactional experience related to technology or sourcing integration.
- Proven ability to manage high contract volume and prioritize effectively.
- Experience serving as General Counsel or SR Counsel in a corporate legal department is highly desirable.
- Strong relationship‑building and stakeholder management skills.
- Ability to work fully remote with teams located in Westlake, Dallas, and Fort Worth.
- BG supporting financial services, banking, or regulated industries.
- Texas‑based candidates preferred but location is not a deciding factor.
- Virtual interviews via Microsoft Teams
- Expect 2+ rounds with legal, sourcing, and business stakeholders
The attorney will function as a SR legal advisor managing key commercial and technology transactions critical to Schwab’s operational and technology roadmap. This is a fast‑paced role that requires expertise, independence, and strong negotiation capability.
Job Type & LocationThis is a Contract position based out of Westlake, TX. 100% Remote.
Pay And BenefitsPay range: $158.00 - $161.00/hr.
