Position Summary

Virginia Transformer is seeking an experienced and detail-oriented Contract Specialist to support the review, administration, and management of customer contracts, purchase orders, proposals, and other commercial agreements.

This position is responsible for identifying commercial and contractual risks, reviewing and negotiating terms and conditions, maintaining contract documentation, and ensuring agreements are accurately processed and managed in accordance with company policies.

The Contract Specialist will work closely with Sales, Engineering, Operations, Finance, and other key stakeholders to mitigate business risk, ensure contractual compliance, and support the successful execution of customer agreements.

This is a full-time, on-site position in Roanoke, Virginia. This is not a remote or hybrid role. Relocation assistance is available for qualified candidates.

Key Responsibilities
  • Review customer contracts, purchase orders, proposals, and commercial agreements to identify business and contractual risks.
  • Review and evaluate contractual provisions involving liability, indemnification, insurance, warranties, cancellation, payment terms, and other commercial requirements.
  • Redline, edit, and recommend revisions to problematic or unfavorable contract language.
  • Identify potentially onerous contractual requirements and coordinate with internal stakeholders to develop appropriate risk mitigation strategies.
  • Maintain accurate contract, agreement, and customer tracking logs.
  • Maintain organized records of contracts, amendments, purchase orders, and supporting documentation.
  • Conduct contract audits to ensure agreements remain current, contractual obligations are being met, key milestones are achieved, and business risks are appropriately managed.
  • Review customer purchase orders to confirm compliance with quoted pricing, commercial terms, and conditions of sale.
  • Ensure required order information is accurately entered into the ERP system and processed according to established procedures.
  • Coordinate with Sales, Engineering, Operations, Finance, and other internal stakeholders to resolve contractual and commercial issues.
  • Complete contract review checklists, approval documentation, and other required internal processes.
  • Maintain spreadsheets, reports, and documentation related to contract reviews, commercial risks, and assigned projects.
  • Support and provide guidance to other Contracts Specialists as needed.
Qualifications
  • 5+ years of experience in contract review, contract administration, legal support, commercial operations, accounting, insurance, or another role involving detailed transactional work.
  • 5+ years of relevant professional experience, preferably within manufacturing, EPC contracting, construction, utilities, infrastructure, or the capital equipment industry.
  • Demonstrated experience reviewing contracts and identifying commercial and contractual risks.
  • Experience reviewing and negotiating terms involving liability, indemnification, insurance, warranties, cancellation provisions, and other commercial requirements.
  • Strong document review, redlining, writing, and communication skills.
  • Excellent organizational skills and attention to detail.
