Tax Director – M&A
As the Tax Director – M&A, you will serve as the strategic tax advisor for all mergers, acquisitions, divestitures, joint ventures, and strategic investments. You will lead a small team responsible for managing external advisors, collaborating with cross‑functional teams, and designing tax‑efficient transaction structures to maximize value and minimize risk. The position requires a high level of autonomy in day‑to‑day decision making while maintaining close communication with other tax stakeholders on the impact of M&A to 3M’s global tax positions.
- Deal Structuring:
Develop and execute tax‑efficient structures for domestic and international acquisitions, dispositions, and restructurings. - Due Diligence:
Lead the tax acquisition and disposition due diligence process, including identifying, quantifying, and mitigating historical and structural tax risks. - Transaction Documentation:
Review and negotiate tax representations, warranties, indemnities, and covenants in purchase agreements. - Post‑Acquisition Integration:
Own the tax integration of acquired entities, including aligning accounting methods and legal entity rationalization. - Collaboration:
Partner closely with the global tax organization and other functions such as Corporate Development, Legal, Treasury, and Finance teams throughout the deal lifecycle. - Modeling & Valuation:
Quantify tax attributes, such as net operating losses (NOLs) and tax basis, to incorporate into financial models. - Advisory Management:
Manage external tax advisors, specialized legal counsel, and valuation experts to ensure timely deliverables. - Structuring and Planning:
Work with other members of the Tax organization to develop and implement internal planning projects.
- Bachelor’s degree or higher in Accounting or Tax (completed and verified prior to start).
- Ten (10) years of corporate tax or accounting experience in a private, public, government, or military environment.
- Five (5) years of experience with M&A tax, including due diligence and structuring.
- Deep knowledge of Subchapter C, Subchapter K, and international tax principles related to transactions.
- Proven experience managing complex, multi‑jurisdictional buy‑side and sell‑side transactions.
- Strong analytical, problem‑solving, and communication skills, with the ability to network across functions within 3M.
- Experience in international tax and/or tax planning with an ability to model scenarios.
- In‑house experience running a tax M&A function, including leading due diligence, step‑plan development, execution, and tax‑specific contract negotiations.
- Strong understanding of income tax concepts, including M&A and foreign issues impacting U.S. taxpayers.
- Ability to work independently on tax research projects and document findings in collaboration with senior tax team members.
- A highly reliable self‑starter with excellent verbal and written communication skills, detail‑oriented, and able to work on time‑sensitive issues under strict deadlines.
- Exhibit sense of urgency to drive effective change.
- This role follows an on‑site working model, requiring the employee to work at least four days a week at the 3M Center in Maplewood, MN;
Washington, DC; or Austin, TX.
May include up to 20% domestic/international travel.
