The Transaction Advisory Manager leads financial due diligence engagements for mergers, acquisitions, divestitures, and strategic transactions. This role is responsible for managing deal execution, supervising engagement teams, and serving as a key point of contact for clients and other transaction stakeholders. The Manager plays a critical role in identifying transaction risks, value drivers, and deal structuring considerations.
Key Responsibilities Engagement & Client Management- Lead buy-side and sell-side financial due diligence engagements from planning through completion
- Serve as the primary day-to-day client contact, including private equity firms, corporate development teams, and lenders
- Manage engagement scope, timelines, budgets, and deliverables
- Communicate findings, risks, and recommendations clearly to senior client stakeholders
- Review and oversee quality of earnings, working capital, net debt, and cash flow analyses
- Evaluate accounting policies, financial trends, and operational drivers impacting valuation
- Identify purchase price considerations, deal risks, and opportunities for value creation
- Review financial models, projections, and transaction-related analyses
- Manage, mentor, and develop analysts and senior associates
- Review team work product for quality, accuracy, and consistency
- Provide on-the-job coaching and performance feedback
- Contribute to staffing, training, and talent development initiatives
- Coordinate with tax, valuation, legal, and other deal advisors
- Support proposal development, pitch materials, and client presentations
- Assist in identifying cross-selling and business development opportunities
