Under the direction of the Bank Chief Compliance Officer (CCO), the Commercial Banking Compliance Officer serves as an independent second-line compliance risk management partner for the Bank's commercial banking activities. The role is responsible for supporting and enhancing the commercial compliance program through risk assessments, monitoring and testing, regulatory change management, issue oversight, and governance reporting. The Commercial Banking Compliance Officer provides compliance guidance and credible challenge to business partners and helps ensure adherence to applicable laws, regulations, supervisory expectations, and internal policies.
This position works closely with commercial lending, Fund Banking, Venture Banking, BSA/AML, OFAC, Legal, Risk Management, and Internal Audit to identify and mitigate compliance risks while promoting strong governance and safe and sound banking practices.
- Develop, maintain, and enhance a risk-based Commercial Banking Compliance framework aligned with the Bank's commercial activities, products, and growth strategy.
- Perform independent compliance monitoring and testing to evaluate adherence to applicable laws, regulations, Bank policies, and procedures.
- Conduct commercial compliance risk assessments by identifying risks, evaluating controls, documenting results, and recommending enhancements.
- Provide second-line oversight and credible challenge for commercial lending compliance requirements, including Flood Insurance, Regulation B/ECOA, FCRA, fair lending, and related documentation controls.
- Provide compliance guidance and oversight for Fund Banking, Venture Banking, subscription facilities, capital call lending, complex ownership structures, and other specialized commercial lending activities.
- Evaluate compliance risks associated with foreign investors, offshore fund structures, beneficial ownership complexity, international affiliations, and cross-border relationships.
- Assess regulatory changes, new products, and business initiatives to identify compliance impacts and recommend updates to controls, procedures, training, and reporting.
- Manage and support issue remediation activities by identifying root causes, validating corrective actions, tracking progress, and escalating material concerns.
- Prepare and deliver compliance reporting, monitoring results, dashboards, regulatory analyses, and governance materials for management, committees, audits, and regulatory examinations.
- Coordinate with BSA/AML, OFAC, Legal, Internal Audit, Credit Risk Review, Operations, and business stakeholders to support effective compliance risk management.
- Provide compliance guidance, training, and regulatory interpretation to business partners while maintaining independent second-line oversight.
- Maintain expertise in commercial banking regulations, supervisory expectations, and industry practices, and participate in strategic initiatives to identify compliance risks and control considerations.
- Working knowledge of commercial banking compliance requirements and second-line compliance risk management practices.
- Ability to interpret regulatory requirements, identify compliance risks, evaluate controls, and recommend practical risk mitigation strategies.
