Corporate Attorney

Parsons Behle & Latimer is seeking an attorney with 3-7 years of corporate experience to join the Corporate and Tax Department in the Salt Lake City or Lehi office. Parsons is a regional law firm with national expertise in numerous practice areas that originated in Salt Lake City over 140 years ago. The firm is at the forefront of the legal communities in Utah, Idaho, Montana, Nevada, Wyoming, and the Intermountain Region.

• 3-7 years of experience with respect to M&A, venture capital and commercial finance, particularly with respect to middle‑market transactions
• Familiarity with a wide variety of transaction types (e.g., public company, private company, stock purchase, asset purchase, etc.)
• Significant transactional experience structuring, negotiating, and closing mergers, acquisitions, business combinations, joint ventures, and strategic alliances
• Experience managing due diligence, closings, regulatory filings, and post‑acquisition integration work streams
• Experience structuring and forming corporations, limited liability companies, partnerships, joint ventures, and other business arrangements
• Strong communication skills and the ability to solve problems, execute and transfer knowledge, and coordinate the completion of projects by junior attorneys
• Interest in private capital market securities and healthcare transactions is a plus
• Sound and practical business judgment, as well as common sense
• Exceptional written and verbal communication skills
• Adherence to high ethical standards
• Juris Doctor degree from an accredited law school
• Admitted to practice in Utah or ability to be admitted by motion
