We are hiring a paralegal to play a key role in our legal team, with primary responsibility for Master Subcontract Agreement (MSA) administration and corporate licensing compliance. This role will manage the full lifecycle of Okland’s MSA program—guiding trade partners through onboarding, coordinating negotiations and redlines with in‑house counsel, driving agreements to execution, and maintaining tracking, renewals, and compliance standards. You will also oversee corporate licensing and entity registrations across jurisdictions, ensuring timely renewals and ongoing qualification to operate in all active states.
Additional responsibilities include supporting insurance compliance, assisting with contract templates, advising project teams on contract process requirements, and providing document support for litigation and third‑party requests.
- Responsible for shepherding trade partners (subcontractors) through Okland’s Master Subcontract Agreement (MSA) process, including negotiating and finalizing terms with support from Okland’s in‑house attorneys.
- Ensure that any insurance requirements to which a trade partner agrees are met, e.g., proof of insurance documents are obtained and reviewed, certificates of insurance are obtained.
- Manage multi‑state corporate licensing, registrations, and good‑standing compliance.
- Participate in the drafting process of various other agreements, including prime agreements with project owners, vendors, suppliers, and other third parties.
- With support and involvement from Okland’s legal department, provide support to project teams faced with various contractual issues, e.g., defaulting trade partners, contract education.
- Provide litigation support to Okland’s in‑house attorneys, e.g., collecting and reviewing documents in response to third‑party subpoenas, document requests.
- A minimum experience of four years in a paralegal/legal assistant role focused on transactional and contract work, preferably in the construction industry.
- Investigative mind and strong research skills.
- Excellent written and oral communication and time management skills.
- Solid computer skills, including a good working knowledge of Microsoft Word and Excel.
- Construction industry experience highly preferred.
