Position Overview
Latitude has a highly motivated Senior Corporate Counsel role for a national utilities company under the guidance of the General Counsel. This position will have significant leadership responsibilities, working closely with the legal and business teams to provide guidance and advice, acting as a key business partner. Successful candidates will have strong experience working with developers and/or utility companies and a strong understanding of municipal utility district (MUD) financing, land use regulations, and regulatory compliance, along with broad-based corporate and commercial legal capabilities and an entrepreneurial mindset.
The role is based in Texas (San Antonio or Houston).
- Advise company leadership on a broad range of legal matters and strategic issues and work with the business teams to lead business development matters through legal work
- Oversee and direct in‑house attorneys and other members of the legal team
- Draft and lead negotiations for commercial agreements in furtherance of company projects and initiatives, including real property transactions and infrastructure development projects
- Partner with the procurement team to structure, draft, and negotiate commercial contracts, including NDAs, LOIs, PSAs, MSAs, consulting and professional services agreements, software licenses, and goods and services agreements
- Direct and optimize contract management systems, processes, and workflows
- Oversee legal aspects of company financing transactions and initiatives
- Collaborate with corporate governance, risk management, and information governance teams
- Contribute to the drafting and implementation of company policies
- Assist with regulatory and compliance initiatives, including rate case filings and consumer data privacy matters
- Manage external counsel handling all matters and liaise with internal and external audit teams as needed
- Perform additional legal responsibilities as required to advance company business objectives
- 12+ years of relevant legal experience, in‑house experience strongly preferred
- Strong background in real estate, development, infrastructure, and/or related project work (required)
- Demonstrated ability to handle broad general corporate legal matters, including commercial contracting and corporate governance
- Experience managing litigation and outside counsel
- Previous experience supervising legal counsel and/or staff
- Comfortable operating as a first‑in‑seat counsel, with a willingness to build processes and operate autonomously
- Excellent academic credentials from an ABA‑accredited law school
- Excellent analytical, written, verbal and interpersonal skills
- Licensed to practice law in TX (or eligible for in‑house exemption)
- Outstanding professional references
- Ability and willingness to manage a hybrid work schedule in San Antonio or Houston
- Pay:
The salary for this role is competitive within the market space and is commensurate with experience. This position is also eligible for bonuses. Pay is based on multiple factors including but not limited to work experience, qualifications, credentials, and location. - Benefits:
