Seeking attorney, accountant or other professional with related experience to collaborate with Tax Opinion Insurance Underwriters, Business Owners, Public Company C-Level Executives and Senior Tax Professionals for the purpose of developing individually customized transactional risk products which protect participants from tax opinion risks arising in connection with underlying business mergers and acquisitions deal structures. Requires solid knowledge in following:
Taxable and Tax-Free Acquisitions;
Deductibility and Capitalization;
Structuring Transactions under Code 351, 197, 338, 381, 721 and 1001;
Treatment of Contingent Liabilities;
Treatment of Transaction Costs and Final Capitalization;
Debt Treatment, Original Issue Discounts, Exclusions and Modifications;
Amortization of Intangibles;
Loss Carrybacks;
Corporate Equity Reducing Transactions;
Consolidating Tax Returns;
