We’re hiring a Senior Corporate Counsel to be a core member of Sierra’s legal team. You will lead strategic corporate transactions, oversee corporate governance, and expand your expertise into employment, equity, and other strategic areas.

• Corporate Transactions: Structure, negotiate, and advise on M&A, financings, and related deals throughout the lifecycle—from term sheets to post‑closing integration.
• Subsidiary Governance: Manage legal operations for Sierra subsidiaries, including incorporation, filings, board materials, corporate resolutions, and coordination with directors.
• Expertise: Deep knowledge of corporate structuring, contracting, and governance, plus a passion for AI and understanding of its legal nuances.
• Operational Excellence: Build a best‑in‑class corporate legal function through process design, templates, playbooks, and workflows.
• Teamwork: Act as a team player, collaborate with cross‑functional partners, and support colleagues’ success.
• Judgment: Exercise sound judgment in a hyper‑scaling environment and confidently make strategic decisions.
• Approach & Detail: Bring a strong work ethic, meticulousness, and a drive for perfection.
• Collaboration: Work cross‑functionally with Operations, Corporate Development, People Operations, Recruiting, Sales, and Agent Development.

• 6+ years of legal experience combining large law firm and in‑house work at a tech company.
• Proven background in complex corporate transactions, contract negotiation, and corporate governance.
• Strong communication skills and ability to partner with legal and non‑legal stakeholders.
• A proactive mindset and adaptability to thrive in a fast‑paced startup environment.

• Experience with employment, benefits, and/or equity matters.
• Passion for AI and deep understanding of AI products, LLMs, and related legal issues.
• Law firm experience at a top‑tier, internationally recognized firm.
• Startup experience operating with a sense of ownership.
• Industry knowledge in Financial Services, Healthcare, Telecoms, Insurance, or Consumer sectors.
