With over 15 years of experience and 300+ transactions closed, this is a firm with serious institutional depth in one of the most active deal sectors in the middle market.
TheOpportunity
A high-ownership Associate seat at a lean, specialized firm where you'll be on real deals from day one. You'll play a central role in executing M&A and growth capital transactions within the software sector — from financial analysis and valuation through client strategy, due diligence, and negotiation. Not a generalist seat — deep software expertise and direct senior access from the start.
WhatYou'll Do
- Execute sell-side and buy-side M&A and growth capital transactions for software and software-enabled companies
- Build financial models tailored to software metrics — ARR, NRR, churn, CAC/LTV — alongside traditional valuation frameworks
- Develop buyer and investor maps, prepare marketing materials, CIMs, and pitch materials for active mandates
- Support due diligence coordination and negotiation processes on live transactions
- Participate directly in client interactions alongside senior bankers
- 3+ years of investment banking experience, ideally with software or SaaS sector coverage
- Strong financial modeling skills with familiarity in software-specific metrics and valuation
- Intellectually curious about software business models and the M&A landscape
- Excellent communicator, highly organized, thrives in a lean entrepreneurial environment
- Based in or willing to relocate to Bay Area
