Contract Administrator

About the Role

The Contract Administrator will manage the documentation and processes involved in venture debt transactions, ensuring efficient coordination and compliance throughout the transaction lifecycle.

• Manage pre-closing, closing, funding, and post-closing documentation for venture debt transactions.
• Coordinate closing checklists, conditions precedent, approvals, signatures, and funding requirements.
• Work closely with sales/business development teams to help move transactions efficiently to funding.
• Review and maintain loan agreements, promissory notes, security agreements, guaranties, warrants, amendments, UCC filings, board consents, and related documents.
• Maintain complete audit-ready transaction files and documentation repositories.
• Support amendments, extensions, waivers, refinancing, and follow-on financings.
• Track covenant-related documentation and ongoing portfolio administration requirements.

• 7-10+ years of experience in contract administration for venture debt, venture banking, technology banking, or commercial lending documentation and closing roles.
• Strong attention to detail and document control skills.
• Excellent communication and stakeholder management skills.
• Proficiency with Microsoft Office and document management systems.
• Bachelor’s degree in business administration, finance, law, or a related field.

• Direct experience supporting venture debt or venture banking transactions for venture-backed companies.
• Experience managing transactions from term sheet acceptance through closing, funding, and post-closing administration.
• Understanding of venture-backed company financing structures and documentation.
• Experience coordinating borrowers, outside counsel, internal legal teams, underwriters, and relationship managers.

• Preferred backgrounds: venture debt lenders, venture banking groups, technology banking groups, life sciences lending groups, and commercial lending teams serving venture-backed companies.
• Not a fit: personal loans, consumer lending, mortgage lending, auto lending, retail banking loan operations, small-ticket lenders, asset-based lending, equipment leasing, specialty finance companies, or syndicated/club lending environments.

Salary: $115,000 annually | Full-time | Onsite - San Francisco, CA (5 days/week)
