Corporate Counsel - Investments

About the Company

Our client, a rapidly growing manufacturing company headquartered in the San Jose area, is looking to identify an in‑house counsel to focus on investment contracts, including equity and debt financing and cross‑border financing transactions. The role requires a strategic business partner who can balance legal risk with practical, growth‑oriented solutions.

• Lead legal oversight of equity and debt financings
  , including term sheets, investment agreements, notes, warrants, and investor rights documentation.
• Manage legal aspects of public and private fundraising
  , including compliance obligations, disclosures, and due diligence.
• Oversee cross‑border financing transactions
  , coordinating with international advisors and ensuring multi‑jurisdictional compliance.
• Support relationships with investors, financial institutions, and external counsel.

• J.D. from an accredited law school; licensed to practice law in California (or eligible for California in‑house registration).
• 5+ years of experience in corporate, finance, asset management or transactional law, preferably with a mix of top‑tier law firm and in‑house experience.
• Demonstrated expertise in:
  • Equity & debt financing
  • Cross‑border financing
  • Public & private investments
  • Complex commercial transactions
• Strong ability to negotiate high‑value and sophisticated contracts.
• Experience supporting manufacturing, industrial, or hardware‑driven companies preferred.
