Job Description Summary
Fenwick is seeking an experienced Funds Paralegal to join its Corporate practice. This role supports attorneys in the formation and management of venture capital. The ideal candidate thrives in a fast‑paced, high-volume environment and brings strong attention to detail, organizational skills, and experience with sophisticated venture fund structures.
This position can be based in any of our U.S. offices, and offers a hybrid schedule that requires three days onsite per week at your designated office with the possibility of additional required in‑office days depending on business and client needs. The work schedule for this position will be 37.5 hours per week (non‑exempt), Monday - Friday, from 9:00 am - 5:30 pm.
Job Description- Assist with the formation and qualification of partnership and limited liability company‑structured funds, general partners, management companies, special purpose vehicles, parallel funds, etc., including coordination with service providers and registered agents.
- Prepare, review, and track key organizational documents such as operating agreements, employer identification number documents, subscription agreements, side letters, and ancillary agreements, including interface with attorneys, clients, investors, fund administrators, and other third parties, as needed.
- Prepare and file securities filings, as required, including Form D and blue‑sky filings.
- Coordinate fund closings, including tracking open items and updates in investor documents, obtaining accurate tax documents, OFAC research, and updating and delivering closing emails and document links from virtual data rooms.
- Support ongoing fund operations, including amendments, name changes, restructuring, 83(b) filings, commitment changes, transfers, dissolutions, etc.
- Consistently maintain document management systems with drafts and final documents in data rooms.
- Conduct some legal and factual research related to fund structures and regulatory requirements and provide other general paralegal support to attorneys across the Corporate Funds practice.
Skills & Qualifications
- Bachelor’s degree or paralegal certificate from an ABA‑approved school is required.
- Minimum of 3–5 years of experience in venture and/or private equity funds as a paralegal in a Big Law or comparable law firm environment.
- Professional demeanor.
- Excellent organizational skills.
- Ability to manage multiple matters simultaneously under tight deadlines or quick turnaround times.
- High level of attention to detail and accuracy.
- Strong written and verbal communication skills.
- Advanced with Microsoft Office Suite and Docu Sign (including templates and power forms).
- Some experience with document management systems and virtual data rooms is a plus.

SalaryRange
The anticipated range for this position is $85,000 – $133,750. The actual base salary offered may depend upon a variety of factors, including the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and, if applicable, the location in which the applicant lives and/or from which they will be performing the job.
A discretionary bonus for eligible employees may also be available based on performance. Additional information about employee eligibility for benefits and discretionary bonus will be made available upon request.
