Role Description
Mag Stone Law is seeking a talented and motivated associate attorney with at least two years of
experience in U.S. venture capital, mergers and acquisitions, and general corporate practice, or
comparable experience at a leading non-U.S. law firm focusing on venture capital and M&A
matters. The ideal candidate will possess strong transactional experience, sound judgment, and
the ability to manage complex client matters independently, while working collaboratively with
our partners and associates.
Location
Santa Monica, CA/Great Los Angeles Area (Hybrid/On-site)
Responsibilities
- Draft, review, and negotiate a wide range of corporate and transactional documents, including financing documents, stock purchase agreements, SAFE/convertible notes, and M&A transaction documents.
- Advise emerging growth companies and investors throughout their lifecycle—from formation to financing and exit.
- Conduct legal due diligence for M&A and venture capital transactions.
- Advise on corporate compliance matters and draft, review, and negotiate various commercial contracts.
- Provide practical and strategic advice to clients on corporate structure, capitalization, and compliance matters.
- Collaborate with partners and clients to deliver efficient, business-focused legal solutions.
Qualifications
- Minimum 2 years of experience in U.S. venture capital, M&A, and general corporate practice at a reputable law firm or comparable experience in Non-U.S. venture capital and M&A field.
- Bilingual in English and Chinese is preferred.
- J.D. or L.L.M from an accredited U.S. law school.
- Licensed to practice law in the United States.
- Strong drafting, negotiation, and communication skills.
- Ability to manage multiple projects with attention to detail and deadlines.
- Entrepreneurial mindset and interest in working with startups, investors, and cross-border transactions.
