Verdantas is seeking an energetic and diligent Corporate Counsel, Mergers, Acquisitions & Enterprise Risk to join our corporate legal team and support a growing consulting firm focused on environmental, energy, water, and engineering services. This position will serve as a strategic legal and business partner supporting mergers and acquisitions, acquisition integrations, enterprise risk management, complex claims and disputes, and corporate development initiatives.

The position is eligible for remote or in-office work.

• Lead with empathy, strong communication, and a people-focused approach to achieve successful results across the enterprise.
• Support and shape the company’s people-focused culture by promoting inclusivity, diversity, collaboration, and teamwork.
• Support mergers, acquisitions, and other strategic transactions from due diligence through closing, including coordinating cross-functional diligence, identifying legal and business risks, and assisting with transaction execution and post-closing obligations.
• Lead and coordinate post-acquisition integration efforts in partnership with Operations, Finance, Human Resources, Information Technology, and other business leaders, including tracking milestones, risks, dependencies, and key action items.
• Partner with the Chief Legal & Sustainability Officer to develop and administer the company’s Enterprise Risk Management program, including risk identification, assessment, mitigation planning, monitoring, and executive and Board reporting support.
• Support private equity, lender, and advisor due diligence associated with recapitalizations, financing transactions, and other corporate initiatives, including coordinating diligence requests and transaction materials.
• Support the management of significant professional liability, commercial, contractual, employment, and other complex claims and disputes, including internal fact gathering, documentation, insurance coordination, outside counsel management, and resolution strategy.
• Identify trends and lessons learned from claims, transactions, and enterprise risks and help develop practical mitigation measures, policies, and business processes.
• Review and support negotiation of complex, high-risk, or escalated contracts as needed, in coordination with the Corporate Counsel responsible for contract operations and oversight.
