Our client is an established biopharmaceutical company and seeking a detail‑oriented Corporate Paralegal to join its Legal Department. This role will provide comprehensive legal support with a focus on contract management and corporate governance. The Paralegal will collaborate closely with in‑house counsel and various business teams to support the negotiation, execution, and administration of key agreements while ensuring compliance with corporate requirements.
Located in South San Francisco, CA

Contract position
Key Responsibilities Contracts Management- Draft, review, and edit a variety of agreements, including NDAs, service and consulting agreements, supply and vendor contracts, master service agreements, work orders, material transfer agreements, and clinical trial agreements.
- Manage the full contract lifecycle—from intake and review to execution, tracking, and archiving—using contract management tools and databases.
- Support counsel and internal clients with redlines, revisions, and counter party communications.
- Monitor contract compliance, track key obligations, and coordinate renewals or amendments.
- Assist with developing and maintaining standard contract templates and procedures.
- Maintain corporate records such as minutes, resolutions, bylaws, and organizational documents.
- Coordinate annual reports, business licenses, and other regulatory filings.
- Prepare materials for board and committee meetings and maintain governance calendars.
- Support compliance programs and internal policies related to signature authority and document retention.
- Assist with due diligence, audits, and internal or external legal inquiries.
- Help implement and maintain internal legal and compliance SOPs, training, and reference materials.
- Manage the Legal Department’s intranet and SharePoint sites for employee access.
- Bachelor’s degree required; paralegal certificate preferred.
- 5–10 years of experience in contracts and/or corporate governance—ideally within the biotech, pharmaceutical, or life sciences industry.
- Strong understanding of corporate governance principles and experience managing corporate entities.
- Familiarity with confidentiality agreements, master service agreements, material transfer agreements, and supply chain or clinical trial agreements.
- Working knowledge of global regulations and GxP-related guidelines
