About Houston (Spring)Exxon Mobil's state-of-the-art campus north of Houston serves as home to its Upstream, Product Solutions and Low Carbon Solutions businesses and their associated service groups. The facility opened in 2014 and accommodates more than 10,000 employees and visitors.
By bringing many global functional groups together, the campus provides employees with the tools and capabilities needed today, and in the future, to achieve business objectives and accelerate the discovery of new resources, technologies and products. Role OverviewExxon Mobil Corporation (“Exxon Mobil”) is seeking to hire an attorney with strong corporate law experience to join a team dedicated to supporting M&A deals and other strategic transactions for Exxon Mobil’s Product Solutions business. The position will be located at Exxon Mobil’s corporate headquarters in Spring, Texas. Whatyou will do
- Provide legal analysis and counsel on securities and corporate governance matters and market developments for Exxon Mobil and its affiliates
- Represent the Company in dealings with third parties on U.S. securities law and state corporation law matters
- Draft, review and negotiate agreements related to securities transactions
- Anticipate and prepare the Company for developments in corporate governance standards and requirements in federal, state, local and foreign jurisdictions
- Participate in preparation and review of comments on proposed SEC and state corporation law regulations
- Support a wide range of domestic and international strategic transactions, including joint ventures, acquisitions, and divestments.
- Lead the drafting and negotiation of transaction documents.
- Develop a deep understanding of Exxon Mobil’s businesses and use sound judgment to solve important business problems.
Skills and Qualifications
- Minimum of seven (7) years of corporate transactional experience, including at least two years of M&A experience in a law firm setting.
- Significant M&A and project experience in the energy industry.
- Corporate Governance or Securities background with experience with the SEC rules governing public companies, including the 1933 Act Rules, the 1934 Act Rules, Regulation S-K, and Regulation S-X
