Summary:
Responsible for wide array of legal functions of large health care system including, but not limited to, advising administration and senior management, boards of trustees and physician leaders in matters of corporate law, business transactions, financing, medical staff, regulatory compliance, health law, legal aspects of drug diversion detection, mitigation, and reporting, employment and labor relations issues, governance, litigation, insurance and risk management;
and assists in overseeing outside counsel. May be responsible for managing legal affairs within a particular area of law. Shares law department management responsibilities.

* 1)
** Provides legal counsel on various aspects of health law matters within the organization to senior leaders and other members of management as appropriate. This may include, but is not limited to policies concerning administrative, business operations, compliance, governance, clinical, human resources, information technology or patient safety matters.

** Provide legal counsel in the form of formal and informal memoranda, meetings, and education sessions, and drafting of policies, working closely with clinical and business staff for operations input.

* 3)
** Advises senior management, Board(s) of Trustees and physicians on state, federal and other regulatory agency guidelines in matters relating to corporate business and medical staff matters.

* 4)
** Participates in negotiations with third parties regarding contracts, acquisitions, proposals, new ventures and dispositions.

* 5)
** Counsels physicians, nursing management and others in the development of procedures regarding issues surrounding patient care and treatment.
*
* 6)
** Determines when court intervention is appropriate and/or necessary. Participates in court intervention as appropriate.

* 7)
** Drafts and reviews legal documents, contracts and correspondence; prepares memoranda on legal issues. Prepares legal documents that accurately reflect the organization's rights, responsibilities and obligations and that are consistent with applicable legal requirements, and the organization's philosophy, goals and objectives as defined by the business.

** Determines when governmental agency reporting, filings, or other action is required by the organization. Examples include responding to investigations by state/federal agencies such as Attorney General's office, federal FDA or DEA, HCFA, State Board of Registration in Medicine, Department of Public Health, EEOC, and others.

** Ensures that the organization is represented at various legal actions regarding patient care, employment, trust, tax, and corporate issues; ensures the review of subpoenas and summons as appropriate and advises/directs action to be taken; along with claims management, monitors and coordinates claims filed against hospital or related corporations and advises management regarding litigation or settlement of claims.

** Contributes to the articulation and development of legal advice and services. Provides leadership in the development and enhancement of systems, controls and procedures for assuring high quality care.

** Responsible for managing outside counsel in collaboration with Chief Legal Counsel.
** 12)
** Attends variety of meetings, conferences, seminars as required or directed. Keeps informed of industry-specific regulations and ensuring that appropriate strategies are in place.

** Fosters the effective integration of departmental goals and initiatives into the system-wide goals and initiatives.

** Participates in performance improvement initiatives and demonstrates the use of quality improvement in daily operations.
** 15)
** Complies with established departmental policies, procedures and objectives.

** Complies with all health and safety regulations and requirements.
