The Commercial Contracts & Risk Specialist serves as a key business partner to the Sales organization, supporting the review, negotiation, and management of customer commercial terms and conditions. This role acts as the primary liaison between Sales, Legal, Commercial Excellence, Risk Management, Trade Compliance, IT, and other stakeholders to facilitate timely contract review, risk assessment, and resolution of non-standard contractual requirements.
The successful candidate will help drive commercial efficiency by ensuring customer contracts align with company policies, risk tolerance, and business objectives while enabling the Sales team to secure orders and maintain customer relationships. This position requires strong commercial judgment, attention to detail, excellent communication skills, and the ability to manage multiple priorities in a fast-paced environment.
Key Responsibilities
Contract Review & Commercial Risk Assessment
- Perform first-pass reviews of customer contracts, purchase orders, master service agreements, framework agreements, and related commercial terms and conditions.
- Identify contractual risks and deviations from company standards, including liability, indemnification, warranty, insurance, payment terms, performance guarantees, intellectual property, and compliance requirements.
- Evaluate contract language for alignment with FT500 policies, corporate governance requirements, and established commercial guidelines.
- Prepare summaries of key commercial risks and recommendations for internal stakeholders.
Contract Negotiation Support
- Partner with Sales teams to support negotiations involving customer terms and conditions.
- Assist in developing commercially acceptable alternatives to non-standard contractual provisions.
- Coordinate reviews and negotiations with Legal, Commercial Excellence, Risk Management, Trade Compliance, IT, Finance, and other functional stakeholders.
- Facilitate resolution of contractual issues while balancing risk management and business objectives.
- Track negotiation progress and ensure timely follow-up with internal and external stakeholders.
Contract Lifecycle Management
- Manage contracts throughout their lifecycle, from initial review through execution, implementation, renewal, amendment, and close-out.
- Maintain contract records, approvals, correspondence, and supporting documentation.
- Monitor key contractual milestones, obligations, deliverables, and expiration dates.
- Support compliance with contractual requirements and internal governance processes.
Approval & Governance Support
- Coordinate and facilitate Delegation of Authority (DOA) approvals for contractual deviations and commercial exceptions.
- Assist Sales teams in preparing approval packages and supporting documentation.
- Manage review requests requiring input from Legal, Risk Management, Trade Compliance, IT Security, Finance, or other stakeholders.
- Ensure approvals are obtained and documented in accordance with company policies and audit requirements.
