The VP, Legal Counsel, Corporate & Securities will provide strategic and legal support with respect to corporate governance and securities law compliance, M&As, corporate finance transactions, and other general corporate matters. This role will report to the SVP, Chief Corporate Counsel, and work closely with the Chief Legal Officer and other senior leaders of the company.
Key responsibilities:
- Support Gartner, Inc.'s compliance with U.S. federal securities laws and NYSE listing requirements
- Lead the preparation and review of all SEC filings (10-K, 10-Q, 8-K, Proxy Statement, Section 16 filings, etc.)
- Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications
- Lead the planning of annual meeting of stockholders
- Support the preparation and management of Gartner, Inc. board and committee meeting materials
- Lead in-house legal support for all M&A transactions
- Provide support to Treasury on financings and other capital market transactions
- Provide support to HR in executive planning and related matters, and the issuance/documentation of equity awards and administration of equity plans
- Provide support to the corporate development, investor relations and tax departments
Key Attributes
- 10+ years of corporate, securities and public company reporting experience
- Strong experience advising on reporting and disclosure requirements under SEC and NYSE rules
- Experience with M&A transactions
- Experience supporting and/or working with boards of directors and senior management a plus
- Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment
- Excellent interpersonal skills and business judgment; an ability to distill complex issues and concisely explain why it matters
- J.D. degree from an ABA accredited law school and membership in at least one U.S. State Bar, with good standing
- Occasional international travel may be required (
