Ceribell is a medical technology company focused on transforming the diagnosis and management of patients with serious neurological conditions. We are seeking a highly-motivated and pragmatic Associate General Counsel to join our Legal team. Reporting to the General Counsel, the Associate General Counsel will provide strategic legal support across corporate, healthcare regulatory, and other functions. This role serves as a key advisor to senior leadership, and will require business-minded legal support across multiple functions, including acting as lead attorney on corporate governance/securities matters and advising on compliance, employment and other matters.
- Corporate Governance/SEC:
Manage a corporate attorney handling SEC compliance; oversee drafting and filing of SEC disclosures; support corporate governance best practices and initiatives, including board and committee support as needed; ensure compliance with Regulation FD and Nasdaq rules; and support the insider trading policy. - Healthcare Regulatory & Compliance:
As needed, counsel on FDA, OIG, CMS and other federal and state agency rules, data privacy (e.g., HIPAA), and other laws impacting life science companies. Advise on HCP engagement, promotion and market access, proposing practical, compliant solutions aligned with business strategy. - Employment:
Counsel on employment law matters; draft and advise on employment agreements and policies; support Compensation Committee matters as needed. - Operations:
Help implement cost and time-saving processes, controls and legal department automation and participate in other duties as requested or needed. - Management:
Collaborate cross-functionally to support business goals, including mentoring others and demonstrating excellent interpersonal and time management skills
- Juris Doctor (JD) from an accredited U.S. law school and active member in good standing of at least one U.S. state bar (California preferred).
- 15+ years of progressively responsible legal and compliance experience, including a law firm background and in-house experience supporting at least one life science, healthcare, or medical device company.
- Strong knowledge of SEC, FDA and OIG regulatory landscape, data protection and privacy laws, and general commercial law relevant to the medtech industry. Proven ability to manage multiple priorities, communicate with cross-functional teams, and provide business-oriented legal advice.
- Clinical development and transactional experience preferred.
- Start-up company experience preferred.
