DESCRIPTION:

Qcells is seeking a Director within its Project Finance - Portfolio Transactions team to lead the execution of asset and portfolio sales into Qcells' arm's-length Asset Co joint-venture vehicles. This role will serve as the senior day-to-day transaction lead across multiple active deals, with primary responsibility for driving commercial execution, diligence coordination, issue resolution, and closing discipline with Qcells' JV counter parties.

Qcells DE utilizes an Asset Co JV model in which the business advances projects through development and pre-construction, then monetizes those assets through sales or contributions into joint venture vehicles alongside tax equity investors, debt providers, and private capital partners. These transactions require disciplined financial analysis, robust diligence coordination, strong internal leadership, and efficient transaction execution. This position will be based onsite in Teaneck, NJ
RESPONSIBILITIES
  • Lead day-to-day transaction execution for the sale, transfer, or contribution of solar and storage assets and portfolios into Asset Co vehicles.
  • Serve as the primary day-to-day transaction lead with Qcells' JV counter parties, including driving alignment on commercial terms, diligence, issue resolution, documentation, and closing execution.
  • Manage, mentor, and develop a team of managers and senior managers responsible for active transaction work streams, while driving strong accountability, prioritization, and execution discipline across the function.
  • Quarterback multiple concurrent transactions and coordinate internal stakeholders across Development, Engineering, Legal, Finance, Tax, EPC, and executive leadership.
  • Drive transaction strategy, execution planning, and process management from diligence and sale preparation through definitive documentation and closing.
  • Lead commercial assessment of transaction value, structural considerations, risk allocation, and negotiation tradeoffs in support of Qcells' broader monetization strategy.
  • Oversee preparation and review of transaction materials, including investment memoranda, diligence trackers, process letters, valuation materials, management presentations, and closing deliverables.
  • Direct diligence processes across counter parties, advisors, lenders, and internal teams, including management of data rooms, request lists, open items lists, and closing checklists.
  • Lead negotiation of transaction-related agreements and deliverables in coordination with internal and external counsel, including purchase and sale agreements and ancillary closing documents.
  • Oversee transaction, valuation, and financing analyses used to evaluate project and portfolio transfers, returns, capital structures, and value capture.
  • Partner closely with acquisitions, commercial pricing, and capital markets teams to ensure valuation assumptions, underwriting outputs, and transaction positions reflect current market conditions and strategic priorities.
  • Drive urgency and accountability around issue resolution, stakeholder coordination, and transaction timelines, escalating key matters as appropriate to maintain execution momentum.
  • Support leadership in standardizing transaction processes, improving diligence and closing protocols, and enhancing internal templates and workflows to scale the portfolio transactions function
REQUIRED QUALIFICATIONS
  • Bachelor's degree in Finance, Accounting, Economics, Business, Engineering, or a related field.
  • 8+ years of relevant experience in project finance, renewable energy, infrastructure investing, private equity, investment banking, or strategic transactions; 10-12 years preferred for most candidates at the Director level.
  • Demonstrated experience leading complex transactions involving U.S. solar, community solar, distributed generation, and/or energy storage projects.
  • Strong track record of independently managing transactions from diligence through negotiation and closing.
  • Experience leading cross-functional teams and coordinating legal, technical, financial, and commercial work streams across multiple active deals.
  • Strong financial modeling and analytical capabilities, including project valuation, transaction structuring, and financing analysis.
  • Strong commercial judgment and ability to assess transaction value, risk allocation, execution tradeoffs, and negotiation strategy.
  • Excellent written and verbal communication skills, with the ability to communicate effectively with senior internal stakeholders, executive leadership, and external counter parties.
  • Demonstrated people management experience, including management and development of managers, senior managers, analysts, or other transaction professionals.
  • Strong organizational skills, attention to detail, and ability to manage multiple active transactions simultaneously in a fast-paced environment.
