Position Summary:

The General Counsel serves as legal advisor to the holding company and its portfolio of operating businesses. This position provides strategic, business-focused legal counsel across corporate governance, commercial transactions, mergers and acquisitions, employment matters, litigation, compliance, and risk management. The General Counsel partners closely with executive leadership to support growth initiatives, protect enterprise value, and ensure sound legal and regulatory practices across the organization.

  • Serve as the primary legal advisor to executive leadership and affiliated entities, providing practical, risk-based counsel on strategic and operational matters.
  • Draft, review, negotiate, and manage a broad range of commercial agreements, including customer, vendor, service, licensing, technology, and partnership contracts.
  • Lead legal support for mergers, acquisitions, investments, divestitures, financings, restructurings, and other strategic transactions, including due diligence and transaction execution.
  • Advise on corporate governance matters, entity management, board activities, organizational structure, and regulatory filings.
  • Oversee litigation, claims, disputes, investigations, and outside counsel relationships to achieve efficient and cost-effective outcomes.
  • Provide guidance to HR team and business units on employment law matters, including employment agreements, workplace policies, investigations, employee relations, and related claims.
  • Develop and maintain compliance programs and advise on applicable federal, state, local, and industry-specific regulatory requirements.
  • Identify and mitigate legal, operational, financial, and reputational risks across the enterprise.
  • Oversee matters relating to intellectual property, data privacy, cybersecurity, information governance, and insurance-related claims.
  • Prepare legal reports, correspondence, and presentations for executive leadership and boards of directors.
  • Collaborate among legal team members across the enterprise, leveraging shared expertise and resources to support business operations, strategic transactions, regulatory compliance, risk management initiatives, and more.
  • Manage external legal providers and legal budgets.
  • Perform other duties and special projects as assigned.
Required Education, Experience, and

Qualifications:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license and good standing with the State Bar of Texas.
  • 10+ years of legal experience with significant exposure to commercial transactions, corporate governance, employment law, litigation management, regulatory compliance, and risk management.
  • Experience supporting multiple business entities, operating companies, or complex organizational structures preferred.
  • Demonstrated experience leading M&A transactions and negotiating sophisticated commercial agreements.
  • Strong business acumen with the ability to balance legal risk and commercial objectives.
  • Exceptional communication, negotiation, analytical, and relationship-management skills.
  • Proven ability to influence executive decision-making while maintaining the highest level of professionalism, discretion, and integrity.
