A leading private equity firm is seeking an experienced Tax Manager/Director to oversee U.S. federal income tax compliance and planning for its fund structures, management company, and investment vehicles. This Tax Manager/Director role requires deep technical expertise in partnership taxation, hands‑on management of external tax providers, and the ability to evaluate complex transaction structures in a fast‑paced investment environment.

Responsibilities
  • Manage U.S. federal income tax compliance for private equity funds, including domestic and offshore partnerships, blockers, and related entities
  • Review and analyze federal partnership tax returns (Forms 1065), investor K-1s, and supporting work papers prepared by external accounting firms
  • Evaluate and advise on federal tax implications of fund structures, investment transactions, restructurings, and exits
  • Interpret partnership agreements, subscription documents, side letters, and transaction documents for federal tax consequences
  • Provide technical guidance on allocations under IRC §704(b), capital account maintenance, carried interest, and waterfall structures
  • Analyze the impact of federal tax law changes (e.g., partnership audit rules, carried interest regulations, interest limitation rules) on funds and investors
  • Support tax planning initiatives related to fund formation, acquisitions, dispositions, and internal reorganizations
  • Serve as the primary internal federal tax resource for the firm, coordinating with legal, accounting, and investment teams
  • Manage federal tax audits, notices, and inquiries, including coordination with external advisors
  • Assist with process improvements, tax documentation, and internal controls as the platform scales
Qualifications
  • Bachelor’s degree in Accounting, Finance, or related field
  • Master’s in Taxation, JD, CPA, or combination strongly preferred
  • 6–10+ years of progressive federal tax experience, with a strong focus on partnership taxation
  • Prior experience in private equity, hedge funds, alternative investments, or Big 4 / national public accounting firm serving PE clients
  • Advanced knowledge of U.S. federal partnership tax rules and complex investment structures
  • Experience with multi‑entity fund structures, management company taxation, and investor reporting
  • Strong technical research and writing skills with the ability to communicate complex tax concepts clearly
  • Detail‑oriented, proactive, and able to manage multiple deadlines in a transaction‑driven environment
