BackgroundThe Condominium Authority of Ontario (CAO) is a delegated administrative authority that enhances consumer protection by providing services and resources to all condo communities across Ontario. We are accountable to the government through an Administrative Agreement with the Ministry of Public and Business Service Delivery and Procurement, and our board of directors provides strategic guidance.
Role PurposeThe Corporate Affairs & Governance Lead, reporting to the Manager of Corporate Affairs & HR and dotted to the CEO & Registrar, leads board governance and provides executive and administrative support to the board and CEO & Registrar.
Key Responsibilities Corporate & Board Governance (90%)- Develop and maintain governance frameworks, policies, and procedures.
- Lead board and committee workplans, tracking items for members and staff.
- Draft, review, and distribute meeting agendas and materials via the board portal (Diligent).
- Provide guidance on governance best practices and ensure policy compliance.
- Record and finalize detailed minutes of meetings, emphasising governance and policy decisions.
- Plan and ensure compliance for the Annual Members’ Meeting and related events.
- Manage policy and board manuals, ensuring updates align with legislation.
- Coordinate onboarding and off‑boarding of directors.
- Ensure compliance with the Administrative Agreement and CAO bylaws, including reporting.
- Serve as liaison between the board, CEO & Registrar, executive leadership, and external stakeholders.
- Support corporate governance reviews and initiatives to enhance accountability and transparency.
- Advise during meetings on governance best practices and policy adherence.
- Assist in preparing corporate reports and presentations.
- Plan and execute board meetings and events, managing logistics such as venue, catering, and on‑site support.
- Handle special projects as assigned.
- Support the CEO’s office to streamline processes and enhance efficiency.
- Schedule, track, and prepare for CEO meetings and corporate initiatives.
- Prepare reports, draft correspondence, and review materials for accuracy.
- Record meeting notes, track deliverables, and follow up on action items.
- Collaborate with Communications to organise all‑staff meetings and events.
- Maintain discretion and confidentiality in all matters related to the CEO’s office.
- Perform other related duties as assigned.
- Bachelor’s degree or diploma in corporate governance, business administration, law, public administration, or a related field.
- Certification in corporate governance is an asset (e.g., GPC.D or ICD.D).
- 4–6 years of experience in regulatory or non‑profit organisations with board governance responsibilities.
- Familiarity with board portal systems such as Diligent.
- Deep understanding of corporate governance principles and experience working with a board of directors and executive leadership.
- Exceptional organisational skills and attention to detail.
- Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Teams).
- Strong written and verbal communication skills; ability to draft precise minutes, policies, and reports.
- Analytical mindset to interpret legislation, policies, and complex information.
- Professional demeanor and discretion when dealing with sensitive matters and high‑level stakeholders.
- Strong interpersonal skills; collaborative with directors, executives, and external stakeholders.
- Sound judgment and consistent confidentiality.
- Proactive, resourceful, and solutions‑oriented.
- Commitment to continuous learning and staying current with governance trends.
The starting rate/salary for this position ranges from 80,000 CAD to 100,000 CAD, based on experience.
