DescriptionAssociate, Global Transaction Tax
The team is part of A&M Canada Tax Law, a network of seasoned tax professionals providing practical tax advice to corporate and private‑equity buyers throughout the transaction life cycle. By utilizing an integrated approach with deep operating and financial experience, the team quickly identifies potential deal breakers, value drivers and other key areas for our clients. Professionals have significant experience on the buy and sell side across all industries.
HowWill You Contribute
- Advising on tax‑efficient structuring of M&A transactions and corporate reorganizations
- Reviewing and commenting on purchase agreements and disclosure schedules
- Identifying and advising on matters to be addressed post‑closing, including integration related risks and opportunities
- Modeling transaction scenarios
- Performing tax due diligence, including reviewing target's historic tax profile, planning, tax examination, acquisition/disposition, and filing history to assess potential risks and opportunities
- Legal research, analysis and writing
- Draft tax opinions and ruling requests to the Canada Revenue Agency (CRA)
- Demonstrate an understanding of increasingly complex tax concepts and effectively apply tax knowledge to client situations
- Develop and deliver quality tax planning approaches with timely and responsive services and work product that meets and/or exceeds client expectations
- Perform due diligence including review of tax returns, financials, and other tax documentation to evaluate potential tax risks and opportunities
- Review and comment on tax aspects of financial models
- Review and comment on tax aspects of purchase agreements
- Coordinate with state, local and international tax team members, as well as financial and operational due diligence team members, to deliver highest quality integrated work product
- Develop and maintain client relationships
- The candidate must be a member in good standing of a provincial bar and have between 3 and 5 years of professional experience focused on tax, preferably tax planning and commercial transactions.
- Completion of the CPA Canada In-Depth Tax Program or a Master's program in taxation offered by a Canadian university is an asset.
- Strong writing, analytical, research, Excel, and organizational skills
- Strong communication, presentation, project management, and business development skills
- Strong sense of personal motivation as well as the ability to work with a team
- Ability to work in a dynamic, time‑sensitive environment
The salary range is $125,000 - $175,000 annually, dependent on several variables including but not limited to education, experience, skills, and geography. In addition, A&M offers a discretionary bonus program based on a number of factors, including individual and firm performance.
