Whatcan you expect from this position?
- Reporting to the Assistant General Counsel, responsible for drafting, negotiating, and editing contracts and related documents including amendments, statements of work, corporate policies, and other commercial materials while also managing construction litigation files, disputes, and responding to construction contract claims. The position includes reviewing, analyzing, and reporting on relevant legislation and case law for use by the legal department and business units.
- Promoting, maintaining, and enhancing the contract lifecycle management system as well as the lien/holdback process and database.
- Supporting outreach and education initiatives to ensure business units understand their legal duties and responsibilities.
- Draft, negotiate, and edit commercial agreements including competitive bidding documents (e.g., requests for proposals or tender documents), letters, contract amendments, and other legal documents as required.
- Assist with the drafting, negotiation, and interpretation of construction contracts, project delivery documents, and related procurement instruments.
- Assist with interpreting the Construction Act, including prompt payment, holdbacks, liens, and related statutory procedures.
- Assist in managing construction‑related disputes, including delay claims, change order disputes, deficiencies, non‑payment issues, and alleged breaches of contract and statutory compliance procedures.
- Promote and support the contract lifecycle management system by identifying needs and working with business partners to input contracts.
- Review, revise, and ensure consistency among corporate policies.
- Work with business groups to create and administer protocols and processes related to regulatory obligations or legal processes/tracking.
- Manage responsibilities independently, reporting to Legal Counsel as required.
- Summarize case law and new legislation by reviewing Lexis+, Can LII, other legal references, and law firm updates, and preparing summaries analyzing applicability and impact to the GTAA.
- Provide outreach and education to business units on legal duties and responsibilities as needs arise.
- Participate in business group meetings and contribute meaningful insight.
- Perform other related duties as assigned, including collaborating with legal assistants and lawyers on record and matter management.
- 5 years of experience in a law firm or in‑house legal department as a Law Clerk specializing in construction and/or corporate and commercial matters.
- Experience in working with construction contract‑related disputes preferred.
- Post‑secondary Law Clerk diploma, Institute of Law Clerks of Ontario (ILCO) Certificate, or an equivalent combination of education, training, and experience.
