Mid-Level Securities Law Clerk

Oakridge Law LLP is seeking an experienced mid-level corporate and securities law clerk to join the firm on a consulting (independent contractor) basis. This is a full-time consulting engagement for a clerk who thrives in fast-paced, deal-driven practice and will have the opportunity toparticipateclosely on complex transactions and ongoing in-house matters. The clerk willbe responsible for preparing, reviewing, analyzing, researching,compiling and organizing legal documents in all stages of corporate transactions as well as all securities filings for lawyers.
- Securities Early Warning reports filings;
- SEDAR+ and SEDI filings;
- Securities exemption filings and registrations;
- Minute book reviews and rectification of deficiencies and extra-provincial registrations and renewals;
- Routine matters such as director/officer changes, redemptions, dividends, etc.;
- Draft documents and preparing and issuing related filings with respect to in corporations, amendments, amalgamations, continuances (import and export), dissolutions, revivals of general and limited partnerships;and
- Assisting with complex multi-jurisdictional corporate transactions and relevant documents, and experience with respect to tax driven reorganizations considered an asset.
- Excellent communication skills both written and oral
- Very organized, detail oriented and team player
- Ability to meet tight deadlines, ability to prioritize and manage multiple projects and address client needs
- Strong skills and ability toanticipateissues that may arise, providing alternatives, suggestions etc.
- Knowledge of Canadian securities law
- Familiarity with all securities platforms, including all current changes to securities legislation and processes
- Knowledge of corporate law in Canadianjurisdictionsother than Ontario and Federal
- Commitment to perform responsibilities with high professional and ethical standards
- A mindset geared toward process efficiency and effectiveness; experience implementing workflow improvements is considered a strong asset.
- Proficiency working in SEDAR+ and SEDI
- Proficiency in Microsoft Word and Excel
- Corporate Law Clerk or Paralegal or equivalent degree/diploma.
- 5+ years of experience in a busy large major corporate transactional law firm environment
