Our client is seeking mid-level or higher Corporate/M&A associate. Candidate should have experience drafting transaction documents, overseeing and conducting legal due diligence, reviewing and compiling disclosure schedules and managing specialists.

Job Details Responsibilities
  • Provide legal advice on a wide range of corporate matters including mergers and acquisitions, corporate governance, and compliance.
  • Draft, review, and negotiate complex legal documents such as disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
  • Conduct due diligence investigations and prepare due diligence reports.
  • Advise clients on the legal aspects of business strategies and decisions.
  • Develop and maintain strong relationships with clients.
  • Stay updated on developments in corporate law and contribute to the company's knowledge management.
  • Collaborate with other departments to ensure that the company's legal strategies align with its business objectives.
  • Qualifications
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the NY state bar.
  • A minimum of 5 years of experience in corporate law, with a focus on mergers and acquisitions.
  • Proven experience in drafting and negotiating disclosure schedules, asset purchase agreements, operating agreements, and stock purchase agreements.
  • Excellent legal research and writing skills.
  • Strong negotiation skills and the ability to resolve complex legal issues.
  • Ability to work independently and as part of a team.
  • Excellent communication skills, both written and verbal.
