THE ROLE

STRIVE Recruitment has partnered with a “Big 4” public practice firm that is the Go Public Advisor and leader for some of North America's most high-profile IPOs. They are currently looking to expand their Deals and Transactions team with top Senior Associates and Managers. This is a full-time and permanent opportunity to join one of the firm's local offices in The Bay Area (San Francisco and San Jose)

A career as a Senior Associate/ Manager within the Deals and Transactions team will provide you with the opportunity to be responsible for complex financial reporting issues around deals and other transformational events. As a Senior Associate/ Manager, you’ll tackle clients’ needs with a solution-oriented approach that creatively addresses complex financial reporting problems for high profile transactions and you’ll have significant interaction with senior company management teams, bankers, lawyers and other advisers.

RESPONSIBILITIES
  • Advise clients on complex accounting and financial reporting issues around:
  • IPOs and SPACs - Preparing for the financial, operational, and regulatory complexities that accompany public and private capital raising transactions (IPOs, debt and spins).
  • Acquisitions - Planning and structuring of the acquisition to achieve the desired goal, recording of the transaction in acquirer financial statements, and post-close reporting requirements.
  • Divestitures - Planning and structuring of the divestiture to achieve the desired goal, preparation of carve-out financial information and ongoing reporting requirements.
  • Accounting Advisory - Navigating accounting complexities, including the application of and changes in policies or rules, for topics around GAAP conversions, revenue, leasing, hedging, financial instruments, stock compensation, etc.
  • Integrated Capabilities - PMA (dedicated project management specialists), CMA (Capital Markets Advisory), and Digital Finance services.
  • Develop new skills outside of comfort zone and act to resolve issues that prevent the team from working effectively.
  • Use data and insights to inform conclusions and support decision-making and develop a point of view on key global trends, and how they impact clients.
  • Analyze complex ideas or proposals and multiple sources of information to develop solutions and build a range of meaningful recommendations.
  • Manage a variety of viewpoints to build consensus and simplify complex messages, highlighting and summarizing key points.
REQUIREMENTS
  • Required Certification: CPA license.
  • Senior Associate: 3+ busy seasons at a “Big 6” public practice firm
  • Manager: 5+ busy seasons at a “Big 6” public practice firm
  • A proven record of success in advising multi-national, publicly traded companies and private equity firms on a broad range of technical accounting, financial reporting, and capital markets topics, including:
  • IPOs, debt offerings, private placements, carve-outs and/or spin-offs, acquisitions, alliances/joint ventures, post-deal accounting, restructurings, restatements, bankruptcies; and, GAAP conversions, change in accounting standards, accounting complexity.
  • A keen interest in deals, capital markets, complex accounting & other transaction-based activities
  • Experimentation with automation & digitization in a professional services environment including:
  • Innovating through new and existing technologies, along with experimenting with digitization solutions;
  • Working with large, complex data sets to build models and leverage data visualization tools.
