Job SummaryProvide legal support to the General Counsel by managing global enterprise corporate governance activities (primary activity), preparing and reviewing documents, conducting research, and organizing and maintaining files (secondary activity).
Essential Duties and Responsibilities- Assist with corporate secretary function by organizing and maintaining information about the company and its international subsidiaries (80+), obtaining assumed name and foreign qualification registrations, and preparing board and shareholder minutes, working with executives, tax department, and local counsel to prepare changes in governance / registrations, managing and triaging complex signature processes for changes (apostiles, notary, etc.).
- Review and/or prepare legal documents such as non-disclosure agreements and customer contracts for review, approval and use by General Counsel.
- Assist with acquisition transactions by participating in the due diligence process and reviewing, preparing and organizing closing documents.
- Assist with preparation of "legal hold" communications and organization and maintenance of files related to litigation.
- Perform legal research.
- Act as liaison with company personnel and outside counsel.
- Perform clerical duties such as scheduling conference calls, providing information to callers, composing and typing routine correspondence, reading and routing incoming mail and updating legal subscription services.

- At least three years' law office and/or corporate legal department experience or alternative experience supporting corporate secretary activity in large, international organization.
- Bachelor's degree (B.A.) from four-year college or university; or equivalent combination of education and experience.
- Proficiency with computer-based research tools and Word, Excel and PowerPoint.

Compensationand Benefits
Our compensation reflects the cost of labor across several U.S. geographic markets, and we pay differently based on those defined markets. The U.S. pay range for this position is $69,481 USD - $86,851.5 USD annually. Ultimately, in determining pay, we will consider the successful candidate's location, experience, and other job-related factors.
