Position Overview

The VP, Controller will build and lead Mentari’s accounting function as the company scales following its reverse merger and PIPE financing and transitions to a publicly traded biotechnology company. Reporting to the SVP, Finance & Chief Accounting Officer, this hands-on leader will establish and oversee accounting operations, financial reporting, close processes, systems, internal controls, treasury, tax compliance, SEC reporting, SOX readiness, and external audit relationships, while managing external providers and building the internal accounting team as the company grows.

The ideal candidate combines strong technical accounting expertise with experience supporting a newly public life sciences company and the ability to partner across the organization to create disciplined, scalable financial processes that support Mentari’s migraine drug development program and broader growth.

Responsibilities
  • Build and lead Mentari’s accounting function, including the internal team and external service providers.
  • Own the monthly, quarterly, and annual close and ensure accurate, timely financial reporting in accordance with U.S. GAAP.
  • Lead SEC reporting, including Forms 10-Q, 10-K, and 8-K, XBRL tagging, and coordination with SEC counsel and external advisors.
  • Design, implement, and maintain the company’s SOX 404 internal control framework.
  • Manage annual audits, quarterly reviews, SOX audits, and the external auditor relationship.
  • Oversee tax compliance and the company’s income tax provision under ASC 740.
  • Establish scalable accounting policies, procedures, approval controls, and close processes.
  • Lead technical accounting for stock-based compensation, clinical and R&D accruals, leases, equity transactions, financings, and other complex matters.
  • Oversee accounting and reporting related to the reverse merger, PIPE financing, and other capital markets transactions.
  • Manage accounting for CRO, CMO, clinical trial, consulting, and other significant vendor arrangements.
  • Select and implement scalable financial, reporting, expense management, banking, and treasury systems.
  • Oversee treasury, cash management, accounts payable, payroll accounting, and other core accounting operations.
  • Partner across the organization to strengthen financial processes and decision-making.
  • Prepare accounting and financial reporting materials for executive leadership, the Audit Committee, and the Board.
  • Support budgeting, forecasting, due diligence, financing activities, and other strategic initiatives.
Education & Experience
  • Bachelor’s degree in accounting or Finance. CPA strongly preferred.
  • 12+ years of progressive accounting experience, including public company reporting.
  • Prior experience in public accounting;
    Big 4 or national firm experience preferred.
  • Biotech or pharmaceutical industry experience. Experience through an IPO, reverse merger, or de-SPAC transaction strongly preferred.
  • Deep knowledge of U.S. GAAP, SEC reporting requirements, and SOX 404 control design and implementation.
  • Proven ability to build accounting infrastructure and teams in early-stage organizations.
  • Experience implementing financial systems. Net Suite experience preferred.
