High-Growth, Financial Institution Seeks Senior Corporate & Securities Lawyer

Exclusive search with a leading Mid-Atlantic based bank which seeks to hire an Associate General Counsel to serve as a senior member of its legal team. You will advise on compliance with securities laws and other laws and regulations related to the Bank’s status as a public company and also provide legal advice on strategic and non‑strategic corporate transactions. This is a chance to shine at a smaller financial institution (2,000+ employees) and work with a General Counsel who will invest in your success.

• As lead securities counsel, advise on the ‘33, ‘34, and NYSE rules and assist in preparation of the Bank’s periodic reports and disclosures
• Partner with investor relations teams on shareholder communications
• Oversee the insider trading policy and compliance program
• Advise on all corporate transactions including M&A, divestitures, various cash management, liquidity and capital strategies (i.e., debt and equity issuances and stock repurchases), investments, JV and partnership opportunities, and intercompany transactions.
• Oversee the Company’s corporate governance practices and support the Board of Directors and its committees
• Oversee maintenance of corporate entities and all subsidiary management
• Manage legal expenses to achieve budget targets for assigned lines of business/functions

will have 15+ years of relevant corporate and securities law expertise in an AmLaw 200 firm and a publicly traded company. Tenure in a financial institution is highly desired. Essential skills:
Business orientation and ability to provide practical solutions; strong ability to identify risks and propose alternative structures to mitigate those risks; ability to consistently exercise independent judgment; and excellent attention to detail and organizational skills.
