Position Summary
The Senior Manager, Executive Compensation and Proxy Disclosure, is responsible for the end‑to‑end development, governance, and execution of executive compensation disclosure in the company’s annual proxy statement and related filings/communications. The role partners closely with Total Rewards, Legal, Finance, HR, Investor Relations, and external advisors to ensure accurate, compliant, and investor‑aligned disclosure, with strong attention to detail and project management.
This role can sit in either the White Plains, NY office, Raleigh, NC or Greensboro, NC office. During busy season, this role would be in office 2× a week. For the remainder of the year, the in‑office requirement is more flexible.
Key Responsibilities- Proxy statement leadership
- Own project plan, calendar, and cross‑functional coordination for proxy production.
- Draft, review, and finalize executive compensation disclosure (including CD&A content where applicable).
- Ensure consistency across proxy, 10‑K/20‑F, IR materials, governance disclosures, and internal documents.
- Executive compensation disclosure & governance
- Prepare and validate compensation tables and narratives (e.g., Summary Compensation Table, pay‑for‑performance, CEO pay ratio, beneficial ownership where applicable).
- Manage inputs from payroll, stock administration, equity plan accounting, finance, and HRIS.
- Maintain audit trail, documentation, and version control.
- Regulatory and stakeholder alignment
- Monitor evolving regulatory requirements and disclosure trends (SEC rules, stock exchange requirements, local governance codes as applicable).
- Track proxy advisor (ISS/Glass Lewis) policies and investor expectations; support mitigation strategies for say‑on‑pay and governance votes.
- Coordinate external counsel, compensation consultants, and proxy solicitor/vendors.
- Compensation committee and board support
- Provide materials and analyses supporting Compensation Committee decisions and disclosure.
- Support committee minutes, resolutions, and the creation of board materials and governance documentation in partnership with Legal/Corp Sec.
- Benchmarking and continuous improvement
- Benchmark disclosure against peers; identify improvements in clarity, narrative, and alignment with strategy/performance.
- Recommend enhancements to proxy narrative, graphics, and messaging to improve readability and investor understanding.
- Bachelor’s degree in HR, Finance, Accounting, Business, Legal Studies, or related field (advanced degree a plus).
- 5–10+ years of experience in executive compensation, proxy statement preparation, SEC reporting support, corporate governance, or related roles.
- Strong working knowledge of executive pay components (base, bonus, LTI, equity vehicles, perquisites, severance / change in control).
- Demonstrated experience preparing executive comp tables and coordinating cross‑functional proxy processes.
- High attention to detail; strong writing/editing and stakeholder management skills.
- Experience in a highly regulated industry or multinational environment.

For individuals assigned or hired to work in the location(s) indicated above, the base salary range is $123,845 – $167,555 per year. Total individual compensation (base salary, short‑ and long‑term incentives) will be determined based on geographic location, scope & responsibilities, qualifications, talent availability & specialization, and business needs. The pay range may be modified in the future.
