Investment Funds Associate Attorney

A highly respected national law firm is seeking an Investment Funds Associate Attorney to join its growing Wilmington office.

This opportunity is ideal for an attorney interested in working with private equity funds, venture capital funds, hedge funds, family offices, investment managers, and institutional investors on sophisticated fund formation and investment management matters.

The Role
  • Private investment fund formation and structuring
  • Private equity fund matters
  • Venture capital and growth equity fund formation
  • Hedge fund and investment vehicle structuring
  • Fund sponsor representation
  • Drafting and negotiating partnership agreements, operating agreements, and subscription documents
  • Investment management and regulatory matters
  • Direct client interaction and substantive transactional responsibility
  • Collaboration with a sophisticated national funds and corporate team
Ideal Background
  • Approximately 3–6 years of investment funds, private equity, or corporate transactional experience
  • Experience with private fund formation, investment management, private equity funds, venture funds, or alternative investment vehicles strongly preferred
  • Experience drafting and negotiating limited partnership agreements, operating agreements, subscription agreements, and fund-related documents preferred
  • Familiarity with investment adviser and securities regulations is a plus
  • Strong drafting, analytical, and communication skills
  • Strong business judgment and client-service orientation
  • Excellent academic credentials
  • Juris Doctor from an ABA-accredited law school required
  • Delaware bar admission preferred or ability to become admitted in Delaware

Compensation
