Corporate Associate – Delaware (Hybrid)
An Amlaw 100 firm is seeking a Corporate Associate with 2–5 years of experience to join its Corporate Practice Group in Delaware. This is a hybrid position offering the opportunity to work at the intersection of high-level transactional work and Delaware's influential corporate legal landscape.
About the Practice:This Corporate & Securities group is known for guiding clients through complex matters with a focus on:
- Mergers and acquisitions
- Public offerings and private placements
- Joint ventures and fund transactions
- Debt and equity financings
- Corporate governance and fiduciary duty issues
Attorneys on this team work with corporations, partnerships, and LLCs, leveraging Delaware's unique legal framework to help clients achieve their strategic goals.
Key Responsibilities:- Advise clients on corporate governance, fiduciary duties, and transactional matters
- Draft and negotiate a range of corporate agreements and deal documents
- Support complex M&A, fund formation, and financing transactions
- Provide analysis and counsel on Delaware corporate and alternative entity law
- 2–5 years of corporate transactional experience with a focus on Delaware entities
- Familiarity with Delaware General Corporation Law (DGCL) and Delaware alternative entity statutes
- Experience with M&A, financing, fund transactions, and joint ventures
- Strong academic credentials and excellent written and verbal communication skills
- Prior large firm or well-regarded corporate practice experience preferred
- Must be licensed in Delaware
- Salary range: $210,000 – $260,000/year, based on experience and qualifications
- Annual discretionary bonus eligibility
