Winston & Strawn – Associate, Private Equity

Apply Chicago, IL. Winston & Strawn is looking for an associate with 4–6 years of significant experience in private equity fund formation and related matters.

Ideal candidate experience:

• Assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements.
• Reviewing fund documentation on behalf of institutional investors and negotiating fund terms.
• Structuring and drafting governing documents pertaining to private equity fund management companies and general partners.

The candidate should have a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act. Experience with private equity secondary transactions would also be helpful. All candidates must be admitted to the state bar of their office location.
