A&M's Corporate Transaction Tax & Advisory (CTTA) team is composed of seasoned tax professionals experienced in providing practical tax advice to corporate buyers and sellers throughout the transaction life cycle. By utilizing an integrated approach with A&M professionals with deep operating and financial-related experience, the team uses a focused and tailored approach to rapidly identify and understand potential deal breakers, value drivers, and other areas of specific interest to our clients.

A distinguishing feature of the CTTA practice is its integrated regional tax capabilities across APAC, EMEA, and LATAM, with regional professionals addressing each region across the globe. The CTTA team fully integrates US and non-US tax capabilities into a single, unified practice, ensuring all US domestic and cross-border tax aspects are addressed collaboratively. Embedded within the broader CTTA team, the regional professionals are involved throughout the transaction and restructuring lifecycle, helping clients evaluate and navigate the non-U.S. tax implications of all aspects of M&A, including structuring, due diligence, and post-deal integration, as well as core tax planning matters such as internal restructurings, tax attribute modeling and planning, and other strategic initiatives.

The team has significant experience supporting both buy- and sell-side transactions, spin-offs and other global transactions across industries including healthcare, financial institutions, energy, technology, and consumer products.

As a member of the A&M CTTA EMEA team, you will:

  • Advise U.S.

    -headquartered multinational groups on the non-US tax aspects of global separations, carve-outs, divestitures, acquisitions, post-merger integrations, and other cross-border restructuring initiatives involving EMEA jurisdictions.
  • Analyze and develop tax-efficient structures across multiple (EMEA) jurisdictions, identifying risks, opportunities, and implementation considerations throughout the transaction lifecycle, including feasibility, design, and implementation.
  • Assess the application of tax-neutral merger and demerger regimes, participation exemption regimes, and other restructuring mechanisms across EMEA jurisdictions.
  • Review holding company, principal, IP, and cross-border financing structures across key EMEA markets.
  • Evaluate dividend, interest, and other withholding tax implications, including treaty access and related beneficial ownership and anti-abuse considerations.
  • Advise on the impact of OECD Pillar Two (GloBE) rules and other international tax developments on existing structures, reorganizations, and post-transaction integration strategies.
  • Coordinate closely with U.S. federal, international, state and local, financial due diligence, operational due diligence, and indirect tax teams to deliver integrated, client-focused solutions.
  • Assist clients with the implementation of transaction and restructuring plans by coordinating with local-country advisors and managing multi-jurisdictional and cross-functional work streams, including legal and regulatory stakeholders.
  • Prepare client-ready analyses, presentations, memoranda, and recommendations while maintaining regular communication with clients and engagement teams.
  • Support Directors and Senior Directors in developing client relationships and identifying opportunities to provide additional value.

Qualifications

  • Law degree with a tax specialization required (from a European jurisdiction preferred); LL.M. in International Tax Law, European Tax Law, or related discipline preferred.
