The opportunity

As Senior Counsel for Technology and Managed Services, you will provide a broad range of advice, counsel, and legal support in respect of EY’s provision of managed services and other technology services and products to EY clients. Your focus will be on advising, drafting, updating, and negotiating the legal terms and conditions of client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses, software‑as‑a‑service agreements, artificial intelligence, big data, analytics, cloud computing, and other technology assignments.

You will be part of EY’s Technology and Managed Services legal group, working closely with GCO groups in the United States and other jurisdictions. You will manage contract reviews and negotiations (independently or supporting senior members) and provide leadership on other legal matters.

Key Responsibilities
  • Drafting, updating, and negotiating client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
  • Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborating closely with other US GCO members and local counsel in other EY member firms.
  • Coordinating legal resources on managed services projects.
  • Supporting coordination with cross‑functional business and internal teams (Data Privacy, Talent, Information Security, and Tax).
  • Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.
  • Understanding existing EY policies and developing/enhancing policies and guidance related to managed services and technology.
  • Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other GCO members.
  • Building relationships and teaming seamlessly with other GCO members to deliver exceptional service to GCO clients.
  • Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing, and best practice.
Qualifications
  • 6+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements.
  • Experience negotiating with client’s internal counsel, outside law firms, and procurement.
  • Experience developing contracting templates, playbooks, and standards.
  • Experience in data privacy, intellectual property law, and the use and provision of technology in Technology & Managed Services Agreements.
  • Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements, and cross‑border data transfer).
  • Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks.
  • Excellent communication, negotiation, and interpersonal skills.
  • High cultural and emotional intelligence, with resilience, flexibility, and adaptability.
  • Ability to work independently and collaborate effectively with colleagues in other functions and geographic locations.
  • Strong analytical ability to articulate complex legal and contractual principles and balance legal and commercial risk.
  • Highly responsive with the ability to manage high workload volumes and competing priorities efficiently.
  • Solution‑oriented with a focus on exceptional client service.
  • Experience as a managed services counsel in a technology or consulting organization.
  • Bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar as an attorney qualified to practice law.
  • Good standing with the applicable State Bar, including current Continuing Legal Education requirements.
