Position Summary

Middle River Power is seeking a highly motivated Counsel, Finance & Transactions to join our legal team and support financing and transactional matters across our portfolio of power generation assets. This role will work on a range of complex transactions, including acquisitions, debt and project financings, tax equity transactions, and related project development matters.

The Counsel will partner closely with colleagues across Legal, Finance, Development, Commercial, and other business functions to review and interpret financing documents, advise on transaction and compliance matters, and support the execution and closing of strategic transactions. The ideal candidate brings strong transactional training, sound legal judgment, attention to detail, and the ability to independently manage meaningful work streams within larger transactions.

Key Responsibilities
  • Review, analyze, and advise on credit agreements and other financing documents, including debt baskets, financial and negative covenants, and other customary provisions.
  • Monitor and advise on compliance with financing agreements, identifying potential compliance issues, transaction requirements, and structural considerations for senior internal counsel and business stakeholders.
  • Support strategic acquisitions, debt and project financings, tax equity transactions, and related project development matters across the Company's portfolio.
  • Draft, review, and negotiate transaction documents and ancillary agreements in connection with financing and acquisition activities.
  • Independently manage discrete projects and material work streams within larger transactions, maintaining accountability for timelines, deliverables, and key closing requirements.
  • Coordinate with internal business teams, outside counsel, lenders, transaction counter parties, and other stakeholders, as appropriate, to provide accurate and practical legal guidance and advance transactions toward closing.
  • Partner with Legal, Finance, Development, and Commercial teams to identify and evaluate legal and transactional risks and support business objectives.
